Terms of Service

1. Who we are

NexAI Studio (the “Service”) is run by NexAI Labs LLP (“NexAI Labs”, “we”, “us”), registered at Plot No. 339, GIDC, Pandesara, Surat, Gujarat 394221, India. GSTIN: 24AAVFN4090L1ZN. These Terms are an agreement between us and the business that uses the Service (“you”). By creating an account, buying credits or using the Service, you accept these Terms on behalf of your business. If you do not accept them, do not use the Service.

2. Who can use it

The Service is for business use, not personal or consumer use. You must be at least 18 and allowed to bind your business to these Terms. You are responsible for everyone who uses your workspace.

3. What the Service does

You upload photos of your products, and optionally reference images such as model faces, poses, backgrounds and props. The Service uses third-party AI models to generate on-model catalogue images (and, where offered, short videos) from them. AI output is made automatically and can contain mistakes, artefacts or distortions. Review every image before you publish it. We do not promise that any marketplace or platform will accept the images.

4. Accounts and access

You can sign up with an email and password or with Google. You must confirm your email address. Access is invite-only: an account can only use the Service once its email is approved on our access list. You can ask for access from the sign-in screen, and we may approve, decline or remove access at any time. Keep your sign-in details secure and tell us straight away if you think someone else has used your account.

5. Credits, top-ups and prices

• The Service is prepaid. A top-up is a prepayment (advance) for NexAI Studio’s AI image and video generation services, paid in Indian rupees through Razorpay, our payment provider. There is no subscription.
• Credits are internal usage units that measure your use of NexAI Studio services. They have no cash value. They are not money, a stored-value instrument or a voucher. They cannot be transferred or sold, and cannot be exchanged for cash except under our Refund & Cancellation Policy.
• A top-up adds credits to your account’s credit balance. The number of credits granted per rupee can vary by plan or promotion, and is shown on the top-up screen before you pay.
• A single top-up is between ₹5,000 and ₹10,00,000. Larger top-ups carry bonus credits, as shown on the top-up screen. We may also add free credits, such as a welcome credit for a new workspace. Bonus and free credits are promotional usage credits given at no additional charge. They are not refundable and are used after your paid credits.
• Credits do not expire.
• Each image uses credits according to its resolution, at the rate shown in the Service. When you press Shoot, each image is quoted at the rate in force at that moment, and that quote is what the image uses even if our rates change before it finishes.
• You need enough available credits to start a shoot. While an image or a clip is being made, its quote is held from your credit balance. An image or a clip is charged its quoted price when it is delivered. If it fails, or you cancel it before it is delivered, you are never charged for it and the hold is released.
• Pack prices, custom top-up amounts and per-image rates are exclusive of GST. 18% GST is added at checkout on top of the top-up amount, as GST on the prepayment. For example, a ₹5,000 pack costs ₹5,900 and adds 5,000 credits at the standard rate (plus any bonus credits).
• We issue a GST tax invoice for every top-up, and you can download it from Billing. No further invoice is issued when credits are used. If your business wants to claim input tax credit, add your GSTIN and legal name in Billing before you top up, so the invoice carries them. An invoice is issued in the name on your account at the time of payment and cannot be reissued to a different GSTIN later.
• We may change our rates. A change applies only to images shot after it takes effect.

Refunds, failed payments and cancellation are covered by our Refund & Cancellation Policy, which forms part of these Terms.

6. Your uploads

You keep ownership of what you upload (“your content”). You give us a worldwide, royalty-free licence to store, process and use your content, and to send it to our AI and infrastructure providers, to run the Service for you and to improve and develop it as set out below.

We may use your content, the images generated for you, AI records, and your approvals, rejections and comments on them to improve and develop the Service and our AI models, including training and evaluating them. We do not sell this data. It stays under the security and retention terms set out in our Privacy Policy.

You confirm that you own your content or have every right needed to use it this way. If an image shows a real person, including a model face you use as a reference, you confirm that you have that person’s consent (such as a signed model release) for their likeness to be used in AI-generated images.

7. Generated images

Once you have paid for an image, we assign to you any rights we hold in it, and you may use it commercially. AI-generated images may not be protected by copyright in every country, and similar images may be generated for other customers. You are responsible for how you use the images and for any product listing or material you put them in.

8. Acceptable use

You must not use the Service to:

• upload or generate images of a real, identifiable person without their consent;
• create sexual content, any content involving minors in a sexual or harmful way, or content that is illegal, defamatory, hateful or harassing;
• infringe anyone’s copyright, trademark or other rights, or pass off products as someone else’s;
• mislead buyers about what a product is, or impersonate a person or brand;
• reverse-engineer, scrape or overload the Service, get around its limits, or use it to build a competing product.

We may refuse a request, remove content, or suspend an account that breaks these rules.

9. Availability

The Service is provided “as is” and “as available”. We do not offer an uptime guarantee. We may change, pause or stop parts of the Service.

10. Our property

The Service’s software, design and brand belong to NexAI Labs and its licensors. These Terms give you no rights in them beyond using the Service.

11. Confidentiality

Each of us will use the other’s non-public information only to perform under these Terms and will protect it with reasonable care, unless the law requires disclosure.

12. Limit of liability

As far as the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue or data. Our total liability for all claims is limited to the amount you paid us in the three months before the event that gave rise to the claim.

13. Indemnity

You will cover our losses and reasonable legal costs from any claim arising from your content, your use of generated images, or your breach of these Terms, including a claim that you uploaded someone’s image without consent.

14. Closing your account

You can stop using the Service at any time and ask us to close your account. What happens to your credit balance is set out in the Refund & Cancellation Policy. We may suspend or close an account that breaches these Terms, or if we stop offering the Service. Sections that by their nature should continue (ownership, payment, liability and indemnity) survive closure.

15. Changes

We may update these Terms. We will change the date at the top and, for material changes, tell you in the Service or by email. Using the Service after a change means you accept it.

16. Law and courts

These Terms are governed by the laws of India. The courts at Surat, Gujarat have exclusive jurisdiction over any dispute about them or the Service.
